Terms of Service
The agreement between you and Conifer Solutions, Inc. for the CLI, the desktop app, cloud routing, and the marketplace.

These terms are a contract, so parts of them read like one. Where we can say something plainly, we have.
The parts that cost you something if you skip them: §7 (outputs are not a source of truth), §8 (running agents and tools is at your risk), §11 (what refunds you get), §14 (our liability is capped), and §15 (disputes go to Delaware courts, and there is a step to take before filing).
Who you are contracting with
This agreement is between you and Conifer Solutions, Inc., a Delaware corporation ("Conifer", "we", "us"), whose notice address is 2418 Rogers Isle.
By downloading, installing, or using Conifer, you agree to these terms. If you do not agree, do not use Conifer. If you are agreeing on behalf of a company, you represent that you are authorised to bind it, and "you" means that company.

What Conifer is
Conifer is a runtime for local AI: it handles model setup and storage, quantization planning, memory management, hardware-aware scheduling, and recovery, so that models run well on hardware you own. Together, the following are the "Services":
- The Conifer CLI — the primary product, run on your own machine.
- The desktop app — a demonstration of the local engine and router.
- Cloud routing — an optional metered gateway that forwards a turn to a third-party model provider when you or the router selects a cloud model.
- The marketplace — modules and listings, some free and some paid.
- conifer.build — the website and documentation.
Local by default. Most of what Conifer does happens on your device and involves us not at all. Cloud routing is the exception, and it only runs when selected.
We may change, add, or discontinue features. If we discontinue a paid feature you have already paid for, §11 governs what happens to what you paid.
Eligibility
You must be at least 13 years old to use Conifer. If you are under 18, you may use Conifer only with the involvement and consent of a parent or guardian, who is responsible for your use of it.
You may not use Conifer if you are barred from doing so under the laws of the United States or your country, if you are located in or ordinarily resident in a country subject to comprehensive US sanctions, or if you appear on a US restricted-party list. You agree to comply with all applicable export control and sanctions laws.
Accounts
Some features — cloud routing, purchases, the marketplace — need an account. We authenticate by emailed magic link, so there is no password to choose or lose. Keep access to your email secure: anyone who can read your inbox can reach your account.
You are responsible for activity under your account. Tell us promptly at [email protected] if you believe it has been compromised.
Your licence to the software
Conifer grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the software in binary form on devices you own or control, for your own business or personal purposes. The software is licensed, not sold; we retain all rights not expressly granted.
You may not: redistribute, resell, rent, lease, lend, sublicense, or host the software as a service for third parties; reverse engineer, decompile, or disassemble it, except where applicable law expressly prohibits that restriction; modify or create derivative works of it; remove or obscure proprietary notices; or circumvent any licence, security, or authentication mechanism.
The Conifer CLI ships with its own End User Licence Agreement, which governs your licence to that binary. These terms govern the Services as a whole. Where the EULA and these terms address the same subject for the CLI binary, the EULA controls for that binary.
Third-party components. The software includes open-source and commercial components under their own licences. Those licences govern those components, and nothing here is intended to restrict a right you have under an open-source licence.
Acceptable use
You agree not to use Conifer to:
- break the law, or infringe or misappropriate anyone's intellectual property or other rights;
- generate or distribute child sexual abuse material, or content that sexually exploits a minor — we report this to the authorities without exception;
- generate or distribute malware, or content designed to defraud, deceive, or impersonate a real person or organisation;
- harass, threaten, or incite violence against anyone;
- attack, overload, probe, or circumvent the Services or any provider's infrastructure, or evade rate limits, quotas, or billing;
- resell or sublicense cloud routing capacity, or run it as a service for third parties;
- use the Services or their outputs to develop or train a model or product that competes with Conifer;
- scrape or harvest data from the Services other than through documented interfaces;
- submit data subject to special regulatory regimes — protected health information under HIPAA, cardholder data under PCI-DSS, consumer financial data under GLBA or the FCRA, or government classified information. Conifer is not built for this data, we are not your business associate or service provider for it, and you must not send it.
You are responsible for the content you submit and for the consequences of what you do with what comes back.
Your content and AI outputs
Your inputs stay yours
You retain all right, title, and interest in what you submit ("Inputs"). You grant us only the narrow, revocable licence needed to operate the Services for you — to process an Input in order to answer it. That is the whole grant. It ends when you stop using the Services.
Outputs are yours
As between you and Conifer, we assign to you all of our right, title, and interest in the output generated for you ("Outputs"). Use them commercially.
Two honest limits on that:
- Outputs are not exclusive. Generative models produce similar output for similar prompts. Another user may receive output identical or similar to yours, and you get no rights in theirs.
- Copyright in AI-generated material is unsettled, and varies by country. We assign whatever we have; we cannot promise a given Output is protectable, or that it does not resemble existing material. Check before you rely on it.
We do not train on your content
Conifer does not use your Inputs or Outputs to train any AI model — not ours, not a third party's. We make no training copy, no reward-model copy, and no shadow-evaluation copy. This is not an opt-out you have to find; there is no such program.
Two things this does not cover, stated so the commitment is not misread:
- Optional prompt samples. If you deliberately turn on the prompt-sample setting, which is off by default, samples of your text are sent to us as described in the Privacy Policy. We still do not train on them.
- Third-party providers. When a turn runs on a cloud model, that provider handles the request under its own terms, which we do not control. See §8.
Outputs are not a source of truth
AI output can be wrong, and can be confidently wrong. It may be inaccurate, incomplete, biased, out of date, or entirely fabricated.
You must not rely on an Output without independently verifying it. Conifer is not professional advice — not legal, medical, financial, or safety advice — and must not be used as the sole basis for a decision affecting anyone's health, safety, legal position, finances, or civil rights. You are responsible for reviewing Outputs before you act on them or ship them.
Feedback
If you send us suggestions, we may use them freely and without obligation to you.
Automated execution, agents, and tools
Conifer can run agents that execute code, invoke tools, read and write files, and act on your system on your behalf. This is powerful and it is genuinely risky.
You accept all risk arising from automated execution, including system outages, data loss or corruption, unintended file or repository changes, security vulnerabilities, unexpected costs, and any action a tool takes that you did not anticipate.
Run agents against work you have backed up, grant them the narrowest permissions that do the job, and review what they propose. The controls that limit an agent's reach are yours to set, and using them is your responsibility.
Third-party models, providers, and your own keys
Model weights you download are licensed by whoever published them — Llama, Qwen, Gemma, and others each carry their own terms, some with use restrictions. Complying with the licence of a model you run is your responsibility. We facilitate the download; we do not grant you rights in third-party weights and we are not liable for them.
Cloud providers. A cloud turn goes to the endpoint selected for it. That provider's terms and privacy policy govern how it handles the request, including its retention and its own acceptable-use rules, which you must also follow. We do not control and are not responsible for a third-party provider's practices, availability, or output.
Bring your own key (BYOK). If you supply a provider API key, you represent that you are entitled to use it and will comply with that provider's terms. We encrypt it and store only ciphertext, as described in the Privacy Policy. Your provider bills you directly for usage on your key, and charges you incur with them are between you and them. You can remove a stored key at any time.
Marketplace and user content
If you publish a listing, module, or media ("User Content"), you keep ownership, and you grant Conifer a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and distribute it for the purpose of operating and promoting the marketplace. Publish something publicly and you also grant other users the licence needed to use it as the listing states.
You represent that you have the rights to publish it and that it does not infringe anyone else's rights or break the law.
We may remove any User Content, or refuse or reverse a listing, at our discretion — in particular where it appears unlawful, infringing, deceptive, malicious, or in breach of §6. We are not obliged to monitor User Content, and we are not the publisher of what other users post. For copyright complaints, write to [email protected] with enough detail to identify the work and the listing.
If you sell through the marketplace, you are the seller of record to your buyers and you are responsible for your own tax obligations.
Payment, credits, and refunds
Cloud routing is metered. You buy credit, and inference draws it down at the rates published at conifer.build/models. There is no subscription. Prices can change; a change applies to credit you buy after it takes effect, never retroactively.
Payment is processed by Stripe; their terms cover the payment itself. You are responsible for applicable taxes.
Refunds:
- Credit you have already spent is not refundable. The inference ran and we paid the provider for it.
- Unspent credit is refundable on request. Email [email protected] and we will return the unused balance to the original payment method.
- Marketplace purchases are refundable within 14 days if the item is materially not as described.
- Where the law gives you a stronger refund or withdrawal right — such as the EU/UK consumer right of withdrawal — that right applies regardless of what this section says.
Failed payments and disputes. If a payment is reversed or charged back, we
may suspend access to paid features until it is resolved. If you think you were
billed incorrectly, tell us — every response carries an x-conifer-request-id,
and quoting it lets us find the exact request.
Privacy
Our Privacy Policy explains what we collect and why, and it is part of this agreement. The headline is in §7: your content stays yours, we do not train on it, and the one channel that sends your text to us is off until you turn it on.
Term, suspension, and termination
This agreement runs until terminated.
You may stop at any time by ceasing to use the Services and, if you wish, asking us to delete your account. Unspent credit is refundable per §11.
We may suspend or terminate your access — with notice where practical, and immediately where necessary — if you materially breach these terms, if your use threatens the security, integrity, or availability of the Services or another user, if we are required to by law, or if a payment fails and stays unresolved.
Where the breach is curable and the circumstances allow, we will tell you what is wrong and give you a reasonable chance to fix it before terminating. For a suspension you believe is mistaken, write to [email protected]; we will look at it.
On termination: your licence ends and you must stop using the software. Locally stored data stays on your device — it is yours and we cannot reach it. We will refund unspent credit unless termination was for a breach of §6. Sections 5–7 and 9–17 survive.
Disclaimers, liability, and indemnity
Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSE. THE ENTIRE RISK AS TO QUALITY AND PERFORMANCE IS WITH YOU.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of this may not apply to you, and nothing here limits rights you have as a consumer that cannot be waived under your local law.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONIFER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID CONIFER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
These limits do not apply to liability that cannot be limited by law — including fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or our wilful misconduct. We are allocating risk for a product much of which runs on your own machine and which we could not offer on these terms otherwise.
Indemnification
You will indemnify and hold harmless Conifer and its officers, directors, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Services, your Inputs or User Content, your breach of these terms, your violation of a third-party model or provider licence, or your infringement of anyone's rights. We will notify you of any such claim and let you control its defence, provided any settlement releases us fully.
Disputes
Talk to us first — this step is required. Before filing anything, send a description of the dispute and the relief you want to [email protected]. We will do the same for a dispute we have with you. Both of us agree to try in good faith to resolve it for 30 days from that notice. Most problems end here, and this step costs nothing. The limitation period is paused while it runs.
If that does not resolve it: these terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. You and Conifer agree to the exclusive jurisdiction of the state and federal courts located in Delaware, and each of us consents to personal jurisdiction there.
There is no arbitration clause and no class-action waiver in these terms. You keep your right to a court and to a jury.
Small claims and injunctions. Either of us may bring a qualifying claim in small claims court, and either of us may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or stop misuse of the Services, without waiting out §15's 30 days.
If you are a consumer in the EU, UK, or another jurisdiction whose law gives you the right to sue where you live, or applies its own law to you, this section does not take that right away.
Changes to these terms
We may update these terms. When we do, we change the version date at the top and publish the new version at this address.
For a change that materially reduces your rights or increases your obligations, we will give at least 30 days' notice — by email where we have your address, and in the app — before it takes effect. Continuing to use Conifer after that means you accept the new terms. If you do not accept them, stop using the Services before they take effect and ask for a refund of unspent credit.
Changes required by law, or that address a security or legal risk, may take effect immediately.
General
Entire agreement. These terms, the Privacy Policy, and the CLI EULA are the whole agreement between us about the Services, and supersede earlier understandings.
Severability. If a provision is unenforceable, it is limited or severed to the minimum extent necessary and the rest stays in force.
No waiver. Not enforcing a provision once does not waive it.
Assignment. You may not assign these terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither of us is liable for a failure caused by something outside our reasonable control.
Notices. We will reach you at the email on your account or in the app. Reach us at [email protected], or by mail at Conifer Solutions, Inc., 2418 Rogers Isle.
Relationship. Nothing here creates a partnership, joint venture, employment, or agency relationship, and there are no third-party beneficiaries.
US government users. The software is "commercial computer software" under FAR 12.212 and DFARS 227.7202; government rights are only those granted here.
